The stages

Founding
Founders start with 100% of the company. Their share count is fixed from here on — only the total grows.

Option Pool
A reserve of shares set aside for future hires. Created pre-money, so founders absorb the full dilution before any investor arrives.

SAFE
Early money that converts into shares at the next priced round, usually at a valuation cap. The lower the cap, the more shares SAFE investors get.

Series A
First priced round. New shares are issued at pre-money valuation ÷ shares outstanding. Higher pre-money = less dilution.

Series B
Same mechanics as Series A, on top of everything that came before. Founder ownership keeps shrinking — but ideally the company is worth a lot more per share.
